Terms & Conditions – Affiliate Program SexToys.net

Article 1 – Definitions

• SexToys.net: provider of the affiliate program and operator of the software.
• Affiliate Partner: the party that promotes SexToys.net, whitelabel clients or partners through banners, text links, or other promotional means.
• Webshop/Partner: the external party where the consumer actually purchases the product.
• Commission: the compensation an Affiliate Partner receives for an approved sale.
• Tracking: the technology used to register whether a sale originated from the Affiliate Partner.

Article 2 – Applicability

• These Terms & Conditions apply to all agreements between SexToys.net and Affiliate Partners. By participating in the affiliate program, the Affiliate Partner agrees to these Terms & Conditions.

Article 3 – Admission and Review

• Participation in the affiliate program is only possible after approval by SexToys.net.
• SexToys.net reviews the website or channel of the Affiliate Partner before participation is granted.
• SexToys.net reserves the right to refuse or later terminate participation, for example in case of a violation of these Terms & Conditions.

Article 4 – Services

• SexToys.net provides promotional materials (such as banners and text links) that the Affiliate Partner may place on their website or channels.
• Tracking records whether visitors referred by the Affiliate Partner make a purchase with a webshop/partner.

Article 5 – Purchase Agreement and Responsibility

• The sale of products and the final purchase agreement are always concluded directly between the consumer and the relevant webshop or partner.
• The Affiliate Partner is not a party to this purchase agreement and bears no responsibility for payment, delivery, or product warranty.
• The Affiliate Partner is fully responsible for the content on their own website and the way in which they promote SexToys.net, whitelabel clients, or partners.
• Misleading, inaccurate, or illegal information is strictly prohibited.
• If SexToys.net determines that the Affiliate Partner engages in such practices, the partnership may be terminated immediately.

Article 6 – Commissions and Payment

• The Affiliate Partner earns commission for every approved sale generated through their promotion.
• The percentage and conditions of the commission are determined by SexToys.net and may be adjusted. Any changes will be communicated in due time.
• Only sales that are approved by the webshop/partner, and that are not cancelled, returned, or deemed fraudulent, are eligible for commission.
• Payments are made according to the payment cycle applied by SexToys.net and once the minimum payout threshold is reached (if applicable).

Article 7 – Obligations of the Affiliate Partner

The Affiliate Partner may only conduct promotional activities through legitimate and permitted websites or channels.

It is prohibited to:

• use misleading, illegal, or harmful content,
• distribute spam or unauthorized email marketing,
• use trademarks of SexToys.net or its partners in domain names or advertisements without prior permission.

The Affiliate Partner remains solely responsible for the content of their website and promotional activities.

Article 8 – Liability

• SexToys.net shall not be liable for damages resulting from participation in the affiliate program, unless in cases of intent or gross negligence.
• The Affiliate Partner indemnifies SexToys.net against claims from third parties arising from their promotional activities.

Article 9 – Term and Termination

• The partnership is entered into for an indefinite period.
• Both the Affiliate Partner and SexToys.net may terminate the partnership at any time without notice.
• In case of a violation of these Terms & Conditions, SexToys.net may immediately terminate the partnership and block any outstanding commissions.

Article 10 – Intellectual Property

• All rights to promotional materials and content belong to SexToys.net or its partners. The Affiliate Partner is granted a right of use only for the duration of the partnership.

Article 11 – Governing Law

• These Terms & Conditions are exclusively governed by Dutch law. Any disputes shall be submitted to the competent court in the Netherlands.
